Content Usage License

This is the rights framework for a separately negotiated client or brand license. A normal Store purchase grants personal use only and does not grant the rights below.

1. Written license required

Commercial or professional use of Dwayne Powers content requires a written agreement identifying the licensed content, licensee, permitted uses, fee, territory, duration, and any exclusivity. Payment alone does not create commercial usage rights unless the written order expressly says so.

2. Rights that must be specified

A license should identify whether the client may reproduce, edit, crop, subtitle, display, publicly perform, distribute, advertise with, publish, sublicense, or create derivative works from the content. It should also identify the approved channels, platforms, audience, geographic territory, term, frequency, and whether the rights are exclusive.

3. Restrictions

Unless expressly granted in writing, the licensee may not resell the content, sublicense it, use it for training data, register it as a trademark, imply endorsement, remove copyright or attribution information, combine it with unlawful or misleading material, or use it outside the approved channels or term.

4. Payment and delivery

Rights begin only after the agreed fee clears and any required approvals or releases are confirmed. A license may be limited, suspended, or terminated for nonpayment, unauthorized use, material breach, legal demand, or rights-holder concern.

5. Talent, third-party, and platform rights

The parties should confirm which rights are owned or controlled by DPN Creatives and which depend on talent releases, music, locations, platforms, or other third parties. A license does not grant rights that the licensor does not own or have authority to grant.

6. Takedown and expiration

When the license expires or is terminated, the licensee must stop new use, remove the content from controlled channels when reasonably requested, and stop distributing copies, subject to any written archival or campaign-wind-down period.
